Goals This course aims to enable students to understand the legal structure of commercial life, the systematics of commercial law centered on the concept of the commercial enterprise, and the fundamental institutions such as merchants, commercial transactions, commercial companies, and negotiable instruments within the context of the interaction between the public and private sectors. Within the scope of the course, it is intended that students comprehend the relationship between commercial law and the economic order, market functioning, and public policies; evaluate commercial disputes encountered in practice in light of legal concepts and principles; and interpret legislation from an analytical and critical perspective. In this framework, the course seeks to provide students of the Faculty of Political Sciences with the necessary foundation in commercial law required for professions that are not strictly legal but closely engaged with law (such as public administration, public finance, economics, business administration, and international relations).
Course Content This course examines the fundamental concepts and institutions of commercial law within a commercial-enterprise-centered systematic framework. It covers commercial enterprise, merchant, commercial transactions, commercial jurisdiction, trade registry, trade name, trademark, and unfair competition. The course also addresses commercial books, commercial assistants, and current account relations; introduces the law of negotiable instruments and bills of exchange (bill of exchange, promissory note, and cheque); and analyzes company law, including ordinary partnership, limited liability company, and joint stock company, with particular focus on formation, corporate organs, auditing, and dissolution. The course further evaluates the relationship between commercial law, economic order, and market functioning within the context of public–private sector interaction.
